Virtual offices in ADGM

Two separate obligations, and conflating them is where the confusion starts.

A registered office address. ADGM's Schedule of Fees states that every legal entity must maintain a registered office address in ADGM and pay the associated lease registration fee[ADGM RA — Schedule of Fees]. Every entity — an SPV holding one share certificate is caught by this exactly as a trading company is.

A lease, filed at application. When lodging the incorporation application you upload the lease agreement for the proposed office space in ADGM[ADGM RA — Al Reem guidance note], and the intended registered office address is part of what the application must contain[ADGM — Commercial Licensing Regulations 2025].

Read together, these mean the address is evidenced by a lease before the entity exists. That is the test any virtual office arrangement has to pass.

And it has to stay valid

ADGM puts the obligation on you: it is the licensee's responsibility to ensure the lease is valid for the duration of the commercial licence, renewing it at expiry[ADGM RA — Al Reem guidance note]. A lapsed address is not an administrative slip — it undermines the basis on which the licence was granted.

ADGM sets out how the registered office requirement can be satisfied[ADGM — SPV brochure]:

1. Your appointed company service provider. The CSP provides the registered address and acts as the main contact for ADGM.
2. The registered office of an ADGM-registered parent or related entity, where the applicant is exempt from the CSP requirement.
3. An ADGM entity licensed as a registered office provider.

Notice what all three have in common: the address comes from an entity that is itself established in ADGM and, in routes one and three, licensed to provide the service. This is the substance of the answer. The question is not whether the space is virtual — it is whether the provider is licensed and the address is real and leased.

Why the licensing point matters

CSP work is a controlled activity[ADGM RA — Al Reem guidance note], and under the Commercial Licensing Regulations 2025 no person may carry on a controlled activity in or from ADGM, or purport to do so, unless licensed or exempt[ADGM — Commercial Licensing Regulations 2025]. Holding yourself out as able to provide it without a licence is itself a contravention[ADGM — Commercial Licensing Regulations 2025].

So the practical check on any provider offering you an ADGM address is simple, and it is the one to make before paying anything: are they licensed by ADGM to provide it, and can they show you that. See company service providers.

For a passive holding structure, a compliant registered office is genuinely the whole requirement. For others it is the floor.

Tech Start-up Licence holders must have at least one dedicated desk or office space — hot-desking is not accepted[ADGM — Setting up FAQs]. A virtual address does not satisfy that, and neither does a flexible membership. See the Tech Start-up Licence.

If you employ people in ADGM, or hold client meetings there, or store records there, you are describing a workplace rather than an address, and should be looking at desk space or an office.

The honest summary

A virtual office arrangement through a licensed provider is a normal, accepted way to hold an ADGM registered office — and for a holding vehicle it is usually the right one. It is not a way to avoid having an address, avoid a lease, or avoid a licensed intermediary. Those three things are the requirement, not the packaging.

ADGM's own charges are published and we quote them. Provider charges are not, and we do not invent them.

What ADGM publishes: the registered office obligation carries an associated lease registration fee[ADGM RA — Schedule of Fees]. The amount is not stated in the schedule's summary tables, so ask ADGM or your provider for the current figure and treat any all-in quote that does not itemise it as incomplete.

What ADGM does not publish: the provider's fee. ADGM notes that its published fees do not include professional fees charged by a Company Services Provider[ADGM — SPV brochure]. That fee is set at market rates, recurs annually, and for a small structure is usually the largest single line after year one.

Because the government element is knowable to the dirham from ADGM's published schedule, everything above it in a quotation is the provider's margin — which makes competing quotes genuinely comparable once you separate the two.
