ADGM office space

Every ADGM entity needs an address in ADGM — but an address and a workplace are different requirements, and only some structures need both.

Quick answer

Does an ADGM company need an office?

It needs a registered office address in ADGM — always. ADGM states that every legal entity must maintain one and pay the associated lease registration fee[ADGM RA — Schedule of Fees].

Whether it needs premises is a different question. ADGM states there is no physical office requirement for Foundations, though the registered address remains mandatory[ADGM — Foundations regime].

At the other end, ADGM requires Tech Start-up licence holders to have at least one dedicated desk or office space — hot-desking is not accepted[ADGM — Setting up FAQs].

Two different requirements

Most confusion here comes from treating these as one thing.

The registered office is a legal address: where the Registrar writes to you, where statutory records notionally sit. Every entity must have one in ADGM[ADGM RA — Schedule of Fees]. A passive SPV needs this and nothing more.

Premises are where people work. An operating company employing staff needs somewhere for them, and that is a commercial property decision rather than a compliance one — except where ADGM specifies a minimum, as it does for tech start-ups.

Getting this straight matters for budgeting. A holding structure's "office" cost is a line in a service provider's fee. An operating business's office cost is usually the largest single item in year one, larger than every government charge combined.

The three ways to satisfy the registered office rule

ADGM sets these out for SPVs, and the same architecture applies more broadly[ADGM — SPV brochure]:

  1. Your appointed company service provider provides it. The route for non-exempt entities, and the most common. The address comes bundled with the CSP relationship.
  2. An exempt entity uses its ADGM-registered parent or related entity's address. A real structural advantage for groups already present in ADGM — no CSP fee, no third-party address.
  3. An ADGM entity licensed with the activity of "registered office provider" offers an address to exempt entities.

Note the pattern: routes 2 and 3 are for exempt applicants. If you are non-exempt, the CSP route is effectively the route, which is one reason the CSP requirement drives so much of the running cost.

The tech start-up desk requirement

Worth its own section because it is a genuine cost that founders do not expect.

ADGM states: "Startups must have at least one dedicated desk or office space i.e. hot-desk is not accepted"[ADGM — Setting up FAQs].

Across many free zones the cheapest entry is a hot-desk or flexi-desk membership shared with other licensees. That does not satisfy this requirement. A Tech Start-up Licence at USD 1,500 comes with a dedicated desk commitment attached, and the desk should be in the budget from the start rather than discovered at application.

The rationale is presumably substance — a licence tied to a real presence rather than a mailbox — and it is consistent with ADGM positioning itself as a jurisdiction with genuine activity in it.

The sequencing problem nobody warns you about

Here is the part that reorders your whole timeline: the lease comes before the licence, not after it.

ADGM's guidance is direct — when lodging the application for incorporation, upload the lease agreement for the proposed office space in ADGM[ADGM RA — Al Reem guidance note]. The lease is an application document, alongside the registered office address details[ADGM RA — Al Reem guidance note].

So you are committing to premises for an entity that does not exist yet, and you cannot present a trade licence to the landlord because you are applying for one. Landlords inside ADGM deal with this constantly and it is normal to them; the surprise is entirely on the applicant side, and it is a surprise that costs weeks if you planned to find space after approval.

Two consequences worth planning around:

  • Start the premises search first, or in parallel. Not after you have a licence. If you are budgeting a five-day incorporation, the premises search sits before that clock starts.
  • Negotiate on the assumption you may be refused. The Registrar's decision is discretionary[ADGM RA — SPV Guidance Note]. Ask what happens to the lease if incorporation is not approved, and get the answer in writing before you sign.

The lease has to stay valid

ADGM puts the obligation squarely on you: it is the licensee's responsibility to ensure the lease is valid for the duration of the commercial licence, and you must extend or renew it at expiry to keep operating[ADGM RA — Al Reem guidance note].

That means lease expiry and licence renewal are two separate clocks that you have to keep aligned yourself. A lapsed lease is not a landlord problem in ADGM — it undermines the basis on which your licence was granted. Diarise both.

Shorter leases are accepted in one specific case

For businesses re-registering from Al Reem Island, ADGM addresses the case where the existing lease has less than a year left: use the current lease or Tawtheeq as evidence of the address the business operates from, and ADGM RA will accept a lease shorter than one year[ADGM RA — Al Reem guidance note].

Read that as what it is — a transitional accommodation for existing Al Reem businesses, not a general rule that any short lease is fine. See Al Reem Island.

The lease registration fee

A line that is easy to miss because it is stated as a note rather than a number.

ADGM's Schedule of Fees says that every legal entity must maintain a registered office address in ADGM and pay the associated lease registration fee[ADGM RA — Schedule of Fees].

Two things follow. First, this applies to every legal entity — an SPV holding a single share certificate is caught by it just as a trading company is. Second, it is separate from your rent and separate from the commercial licence fee, so a budget built from the fee schedule's headline totals plus rent is missing it.

The amount is not given in the schedule's summary tables, and we are not going to guess at it. Ask ADGM or your service provider for the current lease registration fee at the point you are costing the premises, and treat any all-in quote that does not itemise it as incomplete. Which workspace product you actually need

Operators in ADGM sell a ladder of products and the names are not standardised between them. What follows is the ladder in terms of the two ADGM requirements that matter — a compliant registered office address, and a place to work.

  • Registered address only. Satisfies the address requirement through a licensed provider; gives you nowhere to sit. Right for a passive holding vehicle and nothing else. See virtual offices in ADGM.
  • Hot desk. A seat, but no assigned position — and not accepted for a Tech Start-up Licence[ADGM — Setting up FAQs].
  • Dedicated desk. A specific desk assigned to you. The minimum for a Tech Start-up[ADGM — Setting up FAQs], and the point at which coworking becomes viable for a licensed operating business. See coworking and desk space.
  • Private office within a serviced centre. An enclosed room on someone else's lease and services. Usually where a business lands once it has staff, before it takes its own floor.
  • Conventional leased office. Your own lease, your own fit-out, your own term.

Meeting rooms are not a licence input

Worth saying plainly because it is a common search: meeting-room access is a commercial feature of whatever product you buy. It is not something ADGM requires, and it does not help satisfy either the registered office rule or the dedicated-desk condition. Buy it because you will use it, not because you think the licence needs it.

The question to ask, whatever the label

Because the naming varies, do not shop by product name. Ask the operator the two questions that map onto the actual requirements: what document will you issue that ADGM accepts for the incorporation filing, and is the space assigned to us or shared. The answers place any product on the ladder above regardless of what it is called in the brochure.

The market you are shopping in

ADGM's jurisdiction covers 14.38 million square metres across Al Maryah Island and Al Reem Island[ADGM — Our Jurisdiction] — the latter added under Cabinet Resolution No. 41 of 2023. See the Al Reem expansion.

That matters practically: the expansion roughly tenfolded the district, so the supply of space is a different proposition from a single office tower. A business that needs actual floor space has genuine choice within the jurisdiction.

We do not publish rents. They are commercial, they vary by building, floor, term and fit-out, and no authority publishes them — so any figure here would be a guess dressed as information. ADGM lists available space on its own website, and a broker or your service provider will give you current numbers for your specific requirement.

What we can tell you is the fixed part: the lease registration fee is a real charge levied alongside the lease[ADGM RA — Schedule of Fees], and it is separate from the rent.

What each structure actually needs

  • SPV — registered address only. Cannot employ anyone[ADGM — SPVs], so there is nobody to house.
  • Foundation — registered address only; ADGM states there is no physical office requirement[ADGM — Foundations regime].
  • Tech Start-up — at least one dedicated desk[ADGM — Setting up FAQs].
  • Operating company — registered address plus whatever the business genuinely needs. Visa quota is generally a function of the space taken, so headcount plans and premises decisions are the same decision.
  • Financial services firm — as above, and the FSRA will take an interest in whether your operational substance matches what you told it.
