What is the ADGM Registration Authority?
The Registration Authority is ADGM's independent commercial regulator, with powers granted under the Founding Law. It is responsible for the incorporation of corporate vehicles and the registration and commercial licensing of all businesses operating in or from ADGM, and for administering ADGM's commercial legislation[ADGM Registration Authority].
Its remit is wider than a companies registrar's. It also covers data protection, employment regulation, real property registration, consumer protection, and monitoring and enforcement of ADGM's commercial regulations[ADGM Registration Authority].
It is one of ADGM's three authorities, alongside the FSRA and ADGM Courts.
What it is responsible for
- Registration and incorporation of every entity type ADGM offers — see ADGM company registration.
- Commercial licensing, including the category your activity falls into and the fee that follows — see ADGM licence types.
- Data protection, which is why a USD 300 registration and renewal sits inside the same fee schedule as your licence[ADGM RA — Schedule of Fees].
- Employment regulation through the Employment Affairs Office, administering the Employment Regulations 2024.
- Real property registration.
- Monitoring and enforcement, and assessment of complaints about potential regulatory breaches.
The consolidation is genuinely convenient. For a non-financial business the RA is the only authority you deal with, and one counterparty administering companies, data and employment is simpler than three.
Not the same as a companies registrar
The comparison people reach for is DIFC's Registrar of Companies. It is not wrong, but it understates the job.
A registrar registers companies. The Registration Authority is described by ADGM as “the independent commercial regulatory authority in the ADGM”[ADGM RA — SPV Guidance Note] — a regulator, with discretion.
That discretion is not theoretical. Under section 10(1) of the Commercial Licensing Regulations 2025, on receipt of an application the Registrar may grant a licence, if satisfied that the applicant meets the conditions of licence set out in rules made by the Board[ADGM — Commercial Licensing Regulations 2025]. ADGM's own guidance puts it more bluntly still — the decision to grant or refuse is ultimately at the discretion of the Registrar, decided case by case[ADGM RA — SPV Guidance Note]. The SPV nexus requirement is the clearest example: an application meeting every formal requirement can still be refused if the Registrar is not satisfied of a genuine connection to the region.
The practical implication for anyone being sold a guaranteed outcome: nobody can guarantee it. Not us, not a company service provider, not anyone.
The rule everything else hangs off
One sentence in the Commercial Licensing Regulations 2025 explains why the Registration Authority can refuse you, fine you, and decide what you are allowed to do.
Section 1 — the general prohibition. No person may carry on a controlled activity in or from ADGM, or purport to do so, unless he is a licensed person or an exempt person[ADGM — Commercial Licensing Regulations 2025].
Note purport to do so. You do not have to complete the activity; holding yourself out as doing it is caught. And “person” is drawn wide — a natural person, body corporate or body unincorporated, a partnership incorporated or unincorporated, or any other legal form not having separate legal personality[ADGM — Commercial Licensing Regulations 2025]. There is no structure that sits outside it.
What counts as a controlled activity is not in the Regulations
This surprises people who go looking for the list. An activity is a controlled activity if it falls within a description specified as one in rules made by the Board[ADGM — Commercial Licensing Regulations 2025] — and those rules may also specify the circumstances in which a person is regarded as carrying on, or purporting to carry on, a controlled activity in or from ADGM[ADGM — Commercial Licensing Regulations 2025].
So the boundary of the regime is set by Board rules that can change without amending the Regulations. If your activity is near an edge, the rules are what you read, and the date you read them matters.
Three separate contraventions
- Carrying on without a licence — a fine not exceeding level 9 on the Fines Scale[ADGM — Commercial Licensing Regulations 2025].
- Exceeding the scope of your licence — carrying on a controlled activity otherwise than in accordance with the licence you hold is its own contravention, also up to level 9[ADGM — Commercial Licensing Regulations 2025].
- False claims to be licensed or exempt — up to level 6[ADGM — Commercial Licensing Regulations 2025].
The middle one is the trap for licensed businesses. Drifting into an adjacent activity is not a gap in your licence to be tidied up later; it is a contravention on the same footing as having no licence at all.
The third is broader than lying. It catches a person who behaves, or otherwise holds himself out, in a manner which indicates — or is reasonably likely to be understood as indicating — that he is licensed or exempt[ADGM — Commercial Licensing Regulations 2025]. No false statement is required; an impression reasonably taken is enough. It is the reason this site says plainly on every page that it is not a licensed corporate service provider, and a fair test to apply to any provider's marketing you are reading.
Two provisions worth knowing for the downside
There is a due diligence defence. On the first two contraventions it is a defence to show that the person took all reasonable precautions and exercised all due diligence to avoid committing the contravention[ADGM — Commercial Licensing Regulations 2025]. Documented advice taken before acting is what that looks like in practice.
Your contracts do not evaporate. An agreement made in the course of carrying on a controlled activity in contravention of the general prohibition is not, by virtue of that contravention alone, void or unenforceable[ADGM — Commercial Licensing Regulations 2025]. The licensing failure is between the business and the Registrar; a counterparty does not get a windfall exit from it.
One carve-out
A person registered as a registered auditor under the Companies Regulations 2020 is deemed a licensed person for all controlled activities relating to audit services — and for auditors, licensing is governed by the Companies Regulations, not these Regulations[ADGM — Commercial Licensing Regulations 2025]. Dealing with it
Applications are filed through the ADGM Online Registry Solution; paper submissions are accepted with additional fees[ADGM RA — Registration & Incorporation]. For structures requiring a company service provider — non-exempt SPVs and Foundations — the CSP files on the entity's behalf and is the RA's primary point of contact thereafter.
ADGM directs financial services applicants to the FSRA first, and non-financial and retail applicants to the Registration Authority's Business Development team[FSRA].
ADGM's stated expectation is approval within 10 business days[ADGM — Setting up FAQs] for a complete application.
Where its powers come from
ADGM was established pursuant to UAE Federal Decree No. 15 of 2013 and Abu Dhabi Law No. 4 of 2013, as amended[ADGM EAO — Employment guidance]. The Registration Authority has the powers granted to it under that Founding Law[ADGM RA — SPV Guidance Note].
Underneath sits UAE Federal Law No. 8 of 2004, which exempts financial free zones and the activities conducted within them from federal civil and commercial laws[ADGM EAO — Employment guidance] — the provision that makes a separate commercial regulator possible at all.

What does the ADGM Registration Authority do?

Is the Registration Authority the same as the FSRA?
No. They are two of ADGM's three independent authorities. The Registration Authority handles registration and commercial licensing for all entities; the FSRA regulates financial services. A financial firm deals with both, and applies to the FSRA first.
Can the Registrar refuse my application?
Yes. Under section 10 of the Commercial Licensing Regulations 2025 the decision to grant or refuse a commercial licence is ultimately at the Registrar's discretion, decided case by case. Meeting the formal requirements is necessary but not sufficient.
