A branch is the same legal person as its parent, not a subsidiary of it. That single fact drives every difference — and there is a third option most people do not know exists.

Branch or subsidiary?

Everything follows from legal personality.

A branch

  • Is the parent. No liability shield between the two. A claim against the branch is a claim against the parent's whole balance sheet.
  • Has no share capital of its own and no separate shareholders.
  • Requires the parent's documents — its constitution, its good standing, its accounts, its board resolution.
  • Is often simpler where the activity is an extension of what the parent already does under the parent's own name and reputation.

A subsidiary

In practice most groups incorporate a subsidiary, and the branch is chosen where the parent's identity is the point — a bank, a law firm, a professional practice trading under a global name — or where a regulator or client base expects to contract with the parent entity itself.

The third option: move the company in

Frequently overlooked, and sometimes better than either.

ADGM's Companies Regulations contain detailed provisions for continuance. A company incorporated outside ADGM may apply to the Registrar under section 102 for a certificate confirming that it continues as a company registered under the ADGM Companies Regulations — provided the laws of its current jurisdiction authorise the application[ADGM — SPV brochure].

ADGM names the BVI, the Cayman Islands, Jersey and Guernsey among jurisdictions permitting outbound continuance.

Continuance preserves the company's identity and history rather than creating a new entity alongside it. Contracts, licences and banking relationships that would otherwise need novating stay with the same legal person. Where the intention is to relocate rather than to extend, this is usually the cleaner route — and the first question is not whether ADGM will accept you but whether your current jurisdiction lets you leave.

What a branch inherits, and the one entity that cannot open one

A branch is not a company. It is the foreign company, present in ADGM. ADGM's guidance describes it as a company incorporated or formed outside of ADGM that would like to have a presence in ADGM, and calls it a very common and popular entity type — more suitable for establishing a small presence in ADGM, or for setting up a representative office for referring business transactions to the head office or parent company[ADGM RA — Legal Entity Types].

That framing tells you what the form is designed for. A referral and presence vehicle, not a vehicle for building a substantial standalone operation.

Everything comes from the parent

ADGM's composition table for a branch reads almost entirely as deferrals[ADGM RA — Legal Entity Types]:

  • Shares and share capital — as per the foreign company.
  • Liabilities — as per the foreign company.
  • Minimum share capital — as per the foreign company.
  • Directors, secretary, shareholders — as per the parent company.
  • Authorised signatory — minimum one, and it must be an individual.

The liabilities line is the one to weigh. There is no ring-fence. The branch's obligations are the parent's obligations, because there is only one legal person. Everything the branch does in ADGM reaches the parent's balance sheet directly. If that is unacceptable, you want a subsidiary — see the comparison above.

The one thing the branch supplies itself is the authorised signatory, who must be a named individual rather than a corporate appointee.

The disqualification worth checking first

ADGM states it plainly: an entity incorporated as a sole establishment outside ADGM cannot branch out in ADGM, because a sole establishment does not have separate legal personality from the owner[ADGM RA — Legal Entity Types].

The logic is unavoidable. A branch is an extension of a legal person; if the foreign business is not a legal person distinct from its owner, there is nothing to extend. This catches a real and common case — a UAE mainland sole establishment, or an equivalent one-owner unincorporated business abroad, cannot open an ADGM branch no matter how well-established it is.

The route in that case is to incorporate an ADGM company outright rather than branch. Check the foreign entity's legal form before you spend anything on a branch application.

What the Registrar wants

A branch application is parent-document heavy, because the Registrar is registering an existing company rather than creating one. Expect to provide, in outline:

  • The parent's certificate of incorporation — a certified copy, certified within the last three months[ADGM — SPV brochure].
  • The parent's constitutional documents and evidence of good standing.
  • A board resolution approving the branch and appointing authorised signatories.
  • Passport and signature pages for each authorised signatory, director and beneficial owner[ADGM — SPV brochure].
  • A registered office in ADGM[ADGM RA — Schedule of Fees].

No attestation is required for corporate documents[ADGM — SPV brochure] — a genuine advantage when assembling a parent-company file from another country, where legalisation chains are usually the slow part.

Cost and obligations

A branch is licensed by activity category like any other ADGM entity, so the fee follows the category rather than the form: retail USD 2,800, non-financial USD 5,800, financial USD 17,000 before FSRA fees[ADGM RA — Schedule of Fees]. See ADGM licence types.

Two branch-specific points worth planning for. Parent-level changes flow through — a change of the parent's directors or constitution is generally notifiable here too.
