Quick answer

Is ADGM worth setting up in?

Yes, if you are holding assets, running regulated financial activity, structuring family wealth, or building anything with external investors — because the value is in the law and the courts, and those matter when something goes wrong rather than when you are setting up.

No, if you want an SPV but have no genuine connection to the UAE or GCC — the Nexus Requirement will stop you[ADGM RA — SPV Guidance Note]. Also no if you are choosing on setup cost alone, or if you are buying a tax outcome that federal law already fixed.

What ADGM is genuinely good at

The legal framework. English common law applied directly[ADGM Courts — English common law], with independent courts in English and judges from leading common-law benches[ADGM Courts]. This is the whole proposition and everything else is downstream of it.

Holding structures. The SPV at USD 1,900 to register and USD 1,400 a year[ADGM RA — Schedule of Fees] is a genuinely cheap, genuinely credible vehicle — around a third of a standard non-financial entity.

Succession. Foundations at USD 1,000 with initial assets from USD 100, firewall provisions against forced heirship, and no individuals' names on the public register[ADGM — Foundations regime].

Credibility. An ADGM entity reads as a legitimate, regulated vehicle to a bank, a co-investor or an acquirer's counsel. That is worth more than the fee difference on any transaction of size.

Low friction. No attestation of corporate documents, no site visit, fully digital[ADGM — SPV brochure].

What it costs you

It is not cheap for an operating business. A non-financial entity is USD 5,800 to register and USD 5,300 a year in government fees alone[ADGM RA — Schedule of Fees], before the registered office. A general UAE free zone will register a trading company for less.

The registered office is mandatory and real. Every ADGM entity must maintain one[ADGM RA — Schedule of Fees], and for an operating business taking actual space it is usually the largest line in year one.

A company service provider is often unavoidable and nobody publishes what one costs. For a typical SPV the CSP's annual fee exceeds ADGM's own renewal charge, so the government figure understates the running cost substantially.

Financial services is an authorisation, not a registration. FSRA fees, regulatory capital and a compliance function on top of USD 17,000 in RA fees. See the FSRA explained.

Fees are non-refundable if an application is withdrawn or rejected[ADGM RA — Schedule of Fees].

Who ADGM will not work for

Worth being blunt about, because these are the enquiries that waste the most time.

An overseas founder wanting a holding vehicle with no regional connection. Every ADGM SPV must demonstrate an appropriate connection to ADGM, the UAE and/or the GCC, and ADGM states explicitly that appointing an ADGM or UAE-based company service provider does not create that connection[ADGM RA — SPV Guidance Note]. If you and your assets sit entirely outside the region, this is the wrong jurisdiction. Nearly two-thirds of the search demand for these terms comes from outside the UAE, so this disqualifies a lot of people who arrive here hopeful.

Anyone who needs the holding vehicle to trade or employ. SPVs cannot conduct operational business or hire staff[ADGM — SPVs]. You need a private company instead, at a different fee.

Anyone buying a tax outcome. Corporate tax is federal[UAE Ministry of Finance] and the same Qualifying Free Zone Person test applies everywhere in the UAE.

Anyone wanting anonymity. The RSC limits public register disclosure and makes full disclosure to the Registrar — and it is open only to three narrow categories of subsidiary.

Five commitments that outlast the setup fee

The cons above are mostly about getting in. These are about staying, and they are the ones a fee comparison never shows because none of them appear on an invoice at registration.

1. A company service provider may be permanent, not optional

If you are a non-exempt applicant, you are required to appoint an ADGM Company Service Provider — to submit the application, and to provide ongoing services such as the registered address and filings[ADGM — SPV brochure]. That is an annual fee for the life of the entity, set by the provider, and it typically exceeds ADGM's own renewal charge.

It is also a constrained market by design: CSP work is a controlled activity[ADGM RA — Al Reem guidance note], and ADGM has previously suspended new CSP registrations outright[ADGM RA — Al Reem guidance note]. Do not assume switching is quick or that competition will push the price down. See company service providers.

2. Premises come before the licence

The lease is an incorporation application document[ADGM RA — Al Reem guidance note], so you commit to space for an entity that does not exist yet. And keeping the lease valid for the duration of the commercial licence is your obligation[ADGM RA — Al Reem guidance note] — two renewal clocks you have to keep aligned yourself.

3. Your licence has edges, and crossing them is a contravention

Carrying on a controlled activity otherwise than in accordance with the licence you hold is its own contravention, at the same level as having no licence at all[ADGM — Commercial Licensing Regulations 2025]. Businesses evolve into adjacent activities without noticing. In ADGM that is not a paperwork gap to tidy up at renewal.

4. Audit is decided at group level, not by your numbers

A company that qualifies as small is exempt from audit[ADGM — Companies Regulations 2020] — but a company that was a group company at any point in the year is not, unless the group qualifies as small[ADGM — Companies Regulations 2020]. A small ADGM subsidiary of a large international parent does not get the exemption on its own figures.

And a 10% minority can require an audit by notice regardless[ADGM — Companies Regulations 2020]. Budget for the audit unless you have checked both. See audit requirements.

5. The Registrar's discretion does not expire at registration

Getting in is discretionary — the Registrar may grant a licence where satisfied the conditions are met[ADGM — Commercial Licensing Regulations 2025]. So is much of what follows, and the same judgement applies to changes you want later.

How to weigh this

None of the five is a reason to avoid ADGM. They are the reason a comparison built on registration fees alone is close to meaningless: on ADGM's published schedule an SPV renews at USD 1,400 a year[ADGM RA — Schedule of Fees], and for a non-exempt applicant the provider fee sitting on top of that is the larger number.

Price the obligations, not the entry ticket. If the answer still works, ADGM is a strong choice — and if it does not, better to find out now than in year two. See what it costs.

When something else is better

DIFC, if your ecosystem, clients or investors are in Dubai, or if you need a structure ADGM does not have such as a Prescribed Company or a Variable Capital Company. See ADGM vs DIFC.

A general UAE free zone, if you are trading, selling locally, have no external investors and no financing structure, and will never litigate anything complex. You would be paying for law you do not use.

The mainland, if you need to sell into the local UAE market without a distributor.

Your own jurisdiction, if the honest answer is that nothing about your business touches the region. This is the recommendation nobody in this industry makes and it is correct more often than the industry admits.

The verdict

ADGM is a legal system with a business registry attached, and it should be chosen on the legal system. If you can articulate why English common law, an independent common-law court and a credible regulator matter to your specific situation, it is very good value and the fees are a rounding error against what it protects.

If you cannot articulate that — if the appeal is the address, the tax story or a comparison table of setup costs — then you are buying something you could get cheaper elsewhere, and the honest advice is to look at the cheaper thing.

Should I choose ADGM or a cheaper free zone?

Ask what you would use the law for. If you have external investors, a financing structure, family succession or any real prospect of a complex dispute, ADGM's common law and courts justify the difference. If you are trading locally with none of those, a general free zone is likely the better buy.

Can you tell me if ADGM is wrong for me?
