Mirza Seraj Baig

Founder & Advisory Strategist

Mirza is the founder of HenryClub Advisory and an independent UAE company-formation and structuring advisor. He has guided founders and investors from 40+ countries and writes every ADGM guide here from ADGM's own published regulations and fee schedules — advisory-first, clarity before commitment.

What I actually do

I run HenryClub Advisory, an independent advisory practice. Founders and investors come to us before they have chosen a structure, usually with a goal rather than a specification — protect these assets, bring in this investor, move the family’s holdings somewhere with a proper court. The work is turning that into the right entity in the right jurisdiction, and being honest when the answer is a jurisdiction we do not write about.

Why this site exists

Because the alternative was unreadable. Search for almost any ADGM term and you get pages of confident figures with no source, half of them describing DIFC, and a large proportion quoting fees that ADGM cut by half in January 2025.

So the rule here is simple and it is the whole product: every figure is traced to a document ADGM published, cited inline, with the version date attached. There are currently 104 verified facts drawn from 53 primary sources. Where an authority publishes nothing, the page says so rather than estimating — an admitted unknown is worth more than a plausible guess, because a reader cannot tell them apart.

All the fee figures come from the ADGM Schedule of Fees, version dated January 2025, and every source URL is checked automatically so a citation cannot quietly rot. The method is set out in full on the sources and methodology page, including what we do when two official ADGM documents disagree — which happens more than you would expect.

What I am not

HenryClub Advisory is not a licensed corporate service provider. We are an independent information and referral service. We do not incorporate companies, file with the ADGM Registration Authority, or provide regulated services of any kind. Everything published here is general information drawn from official ADGM, FSRA and UAE government sources.

That constraint is also why the writing can be blunt. We are not paid to place you anywhere, so telling you that ADGM will not work for you costs nothing and is frequently the correct answer — most often for overseas readers who cannot satisfy the SPV nexus requirement.

I am not a lawyer and nothing on this site is legal, tax or regulatory advice.

Who reviews this

One author is a strength for consistency and a weakness for blind spots. Pages are therefore reviewed before publishing, by topic, by two named specialists:

  • Jashvantkumar Prajapati Corporate Advisor (CSP-licensed). CSP-licensed corporate advisor.
  • CA Akbar Ali Financial & Regulatory Specialist. Financial & regulatory specialist.

Both are real, independently verifiable people with published profiles, and each is assigned only to topics they can actually speak to — structuring and licensing to one, funds, regulation, tax and banking to the other. The reviewer named at the foot of a page and the reviewer in that page’s structured data are read from the same function, so they cannot disagree.

A review credit is a factual statement about who checked a page. On this kind of content a false credential claim is worse than no claim at all, so if either of them stops reviewing, this changes before the next deploy.

Corrections

If something here is wrong, tell me and show me the source. Corrections are made the same day they are verified, because that is the entire basis on which this site is worth reading. There is a contact form, and my LinkedIn is above.

This is not a rhetorical offer. Building this site turned up an error in my own earlier drafts — I had written that documents issued outside the UAE need notarisation and legalisation, which is true of some jurisdictions and not true of ADGM, where no attestation is required for corporate documents. It was corrected across every page that carried it, and the fact now has a warning attached so it does not creep back.

Tell me what you are trying to achieve and where you and your assets sit. If ADGM is not the right jurisdiction, I will say so.
