The ADGM Tech Start-up Licence
ADGM's incentivised rate cuts the government fee to a fraction of a standard licence for three years. The part worth planning for is what happens in year four.

What is the ADGM Tech Start-up Licence?
An incentivised fee rather than a separate kind of licence. ADGM charges eligible tech start-ups USD 1,500, covering registration and two consecutive renewals over three years[ADGM RA — Schedule of Fees].
Against a standard non-financial entity at USD 5,800 to register and USD 5,300 a year, that is a substantial reduction — though annual data protection fees are excluded from the incentivised figure.
ADGM requires start-ups to have at least one dedicated desk or office space; hot-desking is not accepted[ADGM — Setting up FAQs], and quotes a processing time of around five working days with complete documentation.
What it actually is
Worth being precise, because the marketing language around start-up licences in the UAE is loose.
This is not a distinct licence category with its own rules. It is a reduced fee applied to an ordinary ADGM licence for a defined period. ADGM lists it under "Incentivised Structures and Activities", alongside Venture Capital Fund Managers, Social Enterprises and Carried Interest Vehicles[ADGM RA — Schedule of Fees].
ADGM's schedule states the incentive applies to eligible applicants for three years, including existing tech start-ups from before 1 January 2025, and covers registration plus two consecutive renewals after the licence is issued[ADGM RA — Schedule of Fees].
So the entity you get is a normal ADGM company — most often a private company limited by shares — with a discounted government fee attached to it for a while.
The cliff in year four
This is the section to read before you budget, and it is the one the incentive's marketing does not lead with.
ADGM is explicit: incentivised fees apply only for the total duration, after which entities are charged standard applicable fees for their category[ADGM RA — Schedule of Fees]. Specifically:
- Tech start-ups conducting non-financial activities revert to Category B — USD 5,300 a year.
- Fintech start-ups conducting at least one financial activity revert to Category A — USD 16,500 a year, before FSRA fees.
A fintech paying USD 1,500 in year one is therefore looking at USD 16,500 a year from year four, an eleven-fold increase in government fees alone. That is entirely reasonable and entirely survivable — if you modelled it. It is a genuinely unpleasant surprise if you did not.
Note also that annual data protection fees are excluded from the incentivised figure throughout[ADGM RA — Schedule of Fees], so USD 300 a year applies from the start.
Eligibility, and the desk
ADGM applies the incentive to eligible applicants[ADGM RA — Schedule of Fees], and the licence is sector agnostic — ADGM's own material describes it as open to businesses in all sectors and at all stages[ADGM — Tech Start-up Licence].
The requirement ADGM states plainly
"Startups must have at least one dedicated desk or office space i.e. hot-desk is not accepted"[ADGM — Setting up FAQs].
That is a real cost line and it catches founders out. A hot-desk membership is the cheapest way into most free zones; here it does not satisfy the requirement, and every ADGM entity separately needs a registered office[ADGM RA — Schedule of Fees]. The criteria we could not verify
Being straight about this, because it affects whether you can apply at all.
ADGM's Schedule of Fees confirms the incentive is for eligible applicants but does not set out what makes an applicant eligible, and the ADGM FAQ page that carried those criteria now redirects to the FAQ index. We could not retrieve a current published statement of them.
Secondary sources describe additional gates — a third-party endorsement letter, a UAE-resident signatory, a visa allocation tied to desks. We are not publishing those as fact, because we could not confirm them against an ADGM document. They may well be current; they may equally be stale, which is exactly the problem.
What follows practically: confirm the eligibility criteria with ADGM before you plan around this licence. "We use technology" is not the same as qualifying, and if there is a gating approval you need, it is far better to know before you have taken a lease.
Your activity still has to be right
ADGM publishes a searchable register of permitted activities with the category each falls into[ADGM — Permitted Activities], and non-financial activities on one licence must be complementary. A tech start-up that is really a payments business is a Category A firm with an incentivised fee attached, not a lighter regime — see below.
A note on the fee, because sources disagree
You will find USD 4,000 quoted as the annual tech start-up licence fee in circulating material about this licence.
ADGM's Schedule of Fees dated January 2025 — the controlling document — puts the incentivised Tech Start-up fee at USD 1,500, covering registration and two consecutive renewals over three years[ADGM RA — Schedule of Fees].
The most likely explanation is simply age. ADGM cut its commercial licence fees substantially with effect from 1 January 2025[ADGM — 2025 fee reduction], and a great deal of published material about this licence predates that.
Our practice where two sources disagree is to follow the controlling document and say so rather than quietly pick one. So: USD 1,500 per the current schedule, and if a provider quotes you USD 4,000, ask which version of the schedule they are working from. Either they have older information, or the figure includes something the schedule does not — and both are worth knowing before you sign.
Annual data protection of USD 300 is excluded from the incentivised figure in either case[ADGM RA — Schedule of Fees].
If you are a fintech, resolve this first
The single most consequential question for a start-up in ADGM: is any part of what you do a financial service?
If yes, you are Category A, and a Category A applicant must apply to the FSRA before the Registration Authority will consider incorporation[ADGM RA — Schedule of Fees]. That is a different exercise from registering a company — authorisation, regulatory capital, a compliance function, and a timeline not measured in days.
Payments, lending, advising on or arranging investments, managing assets, operating a platform and dealing in virtual assets are the usual boundary cases[FSRA].
The incentivised fee is still available to FSRA-approved applicants in the relevant categories, but it reduces the Registration Authority's charge only. It does not reduce FSRA fees and it does not make authorisation easier or faster.
Timeline and process
ADGM states that with complete documentation, Tech Start-up Licence applicants can expect a processing time of five working days on average[ADGM — Setting up FAQs] — faster than its general 10-business-day expectation.
The process is the standard ADGM registration through the Online Registry Solution[ADGM RA — Registration & Incorporation], and it can be completed without travelling: the process is digital, shareholders need not be present, and documents may be submitted as scanned copies[ADGM — Setting up FAQs].
As always, "with complete documentation" is doing the work in that sentence. For founders with corporate shareholders behind them, assembling the ownership chain is what determines the real timeline.
